Hua CHEN (陈华) received his LLB degree and LLM degree in civil law from Peking University Law School and joined Tian Yuan Law Firm in December, 1993. He is presently a partner at Tian Yuan Law Firm.
Mr. Chen's practice mainly involves in the transactions of finance, mergers and acquisitions, securities and intellectual property. He also has a wealth of experience in dealing with litigationary and commercial matters with respect to the foregoing industries.
As to his practice in finance, Mr. Chen worked for a bank for three years with prominent performance, and then served as legal consultant for China Investment Bank and Chia Tai International Finance Co., Ltd. He also enjoys academic achievement by releasing articles in banking, in particular in international settlement and international trade finance. He was invited by the head offices of Bank of China, China Investment Bank, China Development Bank and China Everbright Bank to amend their regulations and bylaws and to draft legal documents.
In the field of mergers and acquisitions, Mr. Chen represented Hong Kong China Resources Group Co., Ltd in its acquisition of a listed company “Jifa”, represented Sino Biopharmaceutical Limited (a company listed in Hong Kong) and CLSA Private Equity Limited in their acquisition of Beijing Tide Pharmaceutical Co., Ltd., represented Hong Kong Roadshow Co.,Ltd (a company listed in Hong Kong) in its acquisition of Beijing media business, represented Sinochem Corporation in a number of acquisitions of mines and chemicals enterprises, represented Kerry BHL Logistics Ltd. in its acquisition of Global Logistics and represented Huatong Industrial Co., Ltd in its share acquisition of EAS International Transportation Co.,Ltd and in its share sale of EAS to Kerry Properties Ltd.( a company listed in Hong Kong). He also engaged in the merger of media business between China Youth Daily and Beida Jade Bird Group. Besides, Mr. Chen advised Beijing Oriental Wisdom Science-Technology Development Co., Ltd and Beijing Gmedia Corporation on obtaining foreign venture capital.
In securitises area, Mr. Chen advised Beijing Red Star Co., Ltd on its company-oriented transformation and IPO, advised Tiancai Co., Ltd. on reissuing shares, advised E Fund Management Co., Ltd on issuing open-ended funds and advised China Foreign Economy and Trade Trust and Investment Co., Ltd on issuing its trust products. What’s more, he used to serve as legal consultant to China Securities Regulatory Commission (“CSRC”) on daily legal matters and represented CSRC in a series of administrative lawsuits.
Mr. Chen's practice in the field of international trade is not limited to advising a number of foreign trade enterprises. More importantly, he has been acting as the long-term legal consultant to China Customs and addressing its legal issues.
With respect to his legal services for foreign-invested enterprises, Mr. Chen provides regular legal advice to Cummins (China) Investment Co., Ltd. and Schneider Electric (China) Investment Co., Ltd.
In terms of intellectual property, Mr. Chen represented American Fourth Shift Software Co., Ltd in resolving a dispute concerning Software trade with American GE Healthcare Equipment Co., Ltd. and represented Beijing Sunsing New Machine and Electricity Technology Co.,Ltd in dealing with a patent dispute with American Robicon Co., Ltd.
Mr. Chen prides himself on his extensive experience in representing domestic and foreign enterprises to reach winning results in litigation relating to finance, investment and intellectual property. His practice in this area involves appearance in high-stake, complex litigations, for example, representing Sinochem Corporation in a case against ex-Yugoslavia National Bank and Serbian national Petroleum Company, representing Sinochem Corporation in a case against Tianjin Yat-Sen Scientific-Industrial Park Co.,Ltd and representing International Fareastern Leasing Co., Ltd in a finance leasing case against Guangdong Xinhui Electric Power Co., Ltd.
