  15. Acting as the lead solicitor and PRC counsel for China Hydropower Construction Group International Engineering Company Limited in their "EPC" project (US $800 million) and related financing in a country in the Middle East to build and finance a naphtha refinery;

Acting as lead counsel and PRC counsel, in alignment with counsels in several jurisdictions such as Hong Kong, Spain and Luxembourg, represented China Railway Construction Corporation (“CRCC”) International Investment Group Limited in connection with its post-closing administration and claim against the sellers in its acquisition of a Spanish subsidiary group, as well as obtaining a syndicated loan from Standard Chartered Bank HK Branch for the said Spanish subsidiary group (ongoing, confidential);

Acting for CNPC's wholly owned subsidiary China Huanqiu Contracting & Engineering Corporation throughout the process of its EPC condition engineering contracting and project financing for the Iraqi Kurdistan Refinery Project (US $350 million) (China Business Law Journal 2015 Outstanding Transaction of the Year Award).

 

Banking and Finance:

 

  1. Acting as the lead firm and Chinese counsel to the Export-Import Bank of China, in alignment with English, Swiss and Brazilian legal counsels, provide whole-process legal services including legal due diligence, negotiation and preparation of transaction documents, as well as examining the conditions precedent to financial close etc., in relation to the buyer’s credit term facility to a global-wide iron ore giant to finance the purchase of transportation services from Chinese providers;
  2. Acting as the lead firm and Chinese counsel to the Export-Import Bank of China, in alignment with English counsel and the legal counsel of the borrower’s jurisdiction of incorporation, provide whole-process legal services including legal due diligence, preparation of transaction documents, acknowledgment and confirmation by the guarantor and the account bank, as well as the renewal of deposit pledge registration etc., in relation to the second-round of post-lending restructuring;
  3. Collaborating with the Serbian counsels and English counsels to provide legal services to the syndicate formed by China Construction Bank (Europe) S.A. Warsaw Branch and China Construction Bank Shenzhen Branch, including legal due diligence towards the borrower Telekom Srbija and the Serbian legal environment governing the term facility, drafting and review the facility agreement composed based on the LMA template, reviewing the corresponding export credit insurance policy issued by Sinosure, issuing legal opinion regarding the legality and effectiveness of the facility loan (subject to the English Law) and issuing the confirmation letter of the conditions precedents for the initial disbursement from the perspective of the laws of China, Serbia and England;
  4. Retained by the headquarters of Minsheng Bank to review cross-border bank guarantees for all branches nation-wide.
  5. Acting as the PRC counsel and lead law firm, in alignment with local legal counsels, to the Export-Import Bank of China for the development of security mechanism for the loans extended to the government of a mid-Africa nation (ongoing, confidential);
  6. Acting as the PRC counsel and lead law firm, in alignment with local legal counsels, to the Export-Import Bank of China for a trade finance project in several jurisdictions such as Algeria, Iraq, Ecuador and Montenegro;
  7. Providing legal and compliance advice to several divisions of the Export-Import Bank of China for international bank guarantees;
  8. Acting as the PRC counsel and lead law firm to the Export-Import Bank of China, in coordination with local lawyers, to handle the legal and compliance matters in relation to the modifications to the outstanding balance of an existing loan extended to a borrower in middle Europe;
  9. Acting as the PRC counsel and lead law firm to the Export-Import Bank of China, in coordination with local lawyers, to handle the legal and compliance matters in relation to their credit facilities extended to the government of Indonesia for the development of multiple highways;
  10. Retained by Guangdong Development Bank as the standing legal counsel for all cross-border transactions;
  11. Acting as the PRC counsel and lead law firm to the Xinjiang Branch of the Export-Import Bank of China, in coordination with local lawyers, to provide legal services in relation to the acquisition finance extended to a domestic acquirer (as the borrower) for its acquisition of a foreign commercial bank in a Central-Asia nation (ongoing, confidential);
  12. Engaged by the headquarters of China Construction Bank Corporation to review and negotiate from both legal and compliance perspective the international bank guarantees and other cross-border financing documents for more than twenty branches nationwide;
  13. Acting as the PRC counsel and lead law firm to the Export-Import Bank of China, in coordination with local lawyers and Singapore lawyers in connection with the procurement loan for the Southern Rail Design Supervision Project of the Philippines North-South Railway, and the financing of "Safe Philippines" RCS infrastructure construction project;
  14. Acting as PRC counsel for China National Building Material Group Import & Export Co., Ltd in their debt restructuring cases with owners in Ukraine and bank guarantee debt settlement cases with the Prominvest Bank;
  15. Providing legal services on behalf of the Export-Import Bank of China for a number of financial products such as comprehensive credit lines, working capital loans, real estate loans, and accounts receivable factoring to a domestic giant wireless communications OEM enterprise;

Providing legal services to the headquarters of Shengjing Bank for seven years in respect of their various cross-border banking business such as international loan and other forms of financing, deals of derivatives under ISDA and securities under GMRA, as well as the development of several trade finance products.
